Formerly general counsel and corporate secretary for R-Tec Holding, Inc., a small high
tech engineering firm which was listed on the NASDQ Bulletin Board under the symbol
RTHG. The company was purchased and the new management used their prior attorney.

Formed and organized hundreds of small business corporations and LLC's.

General counsel for the Student Loan Fund of Idaho, Inc., a private nonprofit
corporation involved in the student loan industry from 1996 through September, 1999.
Handled general legal matters and participated in major litigation with the U.S.
Department of Education which resulted in 16.5 million dollar judgment in U.S. District
Court in Idaho against the DOE.
